Focused legal work
for business.
My practice is currently focused on commercial contracts and selected corporate matters under Romanian and EU law.
I work primarily on matters that require careful legal analysis, precise drafting and a clear assessment of the options available before a decision is made.
Commercial
Contracts
Contracts are often where a business decision becomes a legal commitment.
I assist with the drafting, review and analysis of commercial agreements, with particular attention to contractual obligations, allocation of risk, termination mechanisms and provisions that may create difficulties later in the relationship.
- Drafting and review of commercial agreements
- Service and supply agreements
- Commercial terms and negotiated arrangements
- Confidentiality and non-disclosure agreements
- Assignment of contractual and intellectual property rights
- Digital services and technology-related contracts
- Identification and assessment of contractual risks
- Selected contractual disputes and pre-litigation matters
Corporate Governance
& Directors’ Liability
Corporate decisions create legal consequences that extend beyond the document recording them.
I work on selected corporate-law matters concerning company organisation, corporate decisions, statutory changes and the legal responsibilities of directors. The focus is on identifying the applicable rules, assessing the legal position and setting out the available course of action clearly.
- Corporate decisions and documentation
- Statutory changes
- Corporate governance matters
- Directors’ duties and responsibilities
- Issues concerning directors’ liability
- Selected company-law questions
- Legal analysis concerning corporate acts and decisions
Technology &
Digital Business
Technology is changing the way businesses contract, operate and interact with customers, employees and other businesses.
I am developing this area of my practice progressively, building on my work in commercial contracts and European Union law.
The focus is on the legal questions that arise when technology becomes part of a commercial relationship: software, digital services, intellectual property, data and emerging AI-related issues.
This is a developing focus of the practice rather than a separate claim of specialisation. The aim is to build this area through substantive legal work, continuous study and practical experience.
A FOCUSED PRACTICE
Legal work is strongest when the issue is clearly defined, the relevant law is carefully analysed and the available options are set out precisely.
A good fit
- You need a commercial contract drafted, reviewed or analysed.
- You need a corporate-law issue assessed under Romanian law.
- You need legal analysis before signing, negotiating or taking a corporate decision.
- Your matter involves a technology or digital-business contract within the current scope of the practice.
- You prefer direct work with one lawyer who is responsible for the legal analysis and documents.
The approach
- Review the facts and documents.
- Identify the relevant legal issues.
- Research the applicable Romanian and, where relevant, EU-law framework.
- Evaluate the available options and risks.
- Set out the legal position and practical next steps clearly.
Legal analysis before legal action.
A concise legal opinion or a single revised contract clause is never a quick guess, but the synthetic conclusion of a structured, highly analytical process. Behind every actionable advice lies exhaustive research, from cross-referencing relevant case law and supervisory guidance to mapping your agreement against applicable EU digital legislation.
